Business Formation Process and Timeline
The LLC formation process has five stages: ZenBusiness prepares your filing → submits to the state → state reviews and approves → documents arrive in your dashboard → EIN is issued. Total time ranges from 2 business days (expedited) to 4–8 weeks (standard in slow states). The waiting period is entirely state-controlled, not ZenBusiness.
The Five Stages
Stage 1: Order Processing (Day 1)
After you complete your ZenBusiness order, we prepare your Articles of Organization based on the information you provided. This typically happens within 1 business day. You'll receive an email confirmation when your filing is submitted to the state.
Stage 2: Submitted to State (Day 1–2)
Your Articles of Organization are submitted electronically or by mail to your state's Secretary of State office. Your dashboard status changes to "Submitted to State."
Stage 3: State Review (1 day to 8 weeks)
This is the waiting period — the state reviews and processes your filing. Timing varies dramatically:
- Fast states: Delaware, Wyoming — often same-day or next-day
- Average states: Florida, Texas, Georgia — 5–14 business days standard
- Slow states: California, New York, Massachusetts — 4–8 weeks standard
Expedited processing (available in most states for an additional fee) dramatically shortens this stage.
Stage 4: Formation Approved
The state officially approves your LLC. Your Articles of Organization are uploaded to your ZenBusiness dashboard Documents section within 1–2 business days. Your LLC legally exists from the date the state approves it.
Stage 5: EIN Issued (if ordered)
After formation is approved, ZenBusiness files for your EIN with the IRS. The IRS typically issues EINs within a few business days of the online application. Your EIN letter appears in your dashboard Documents.

My status has been "Submitted to State" for 3 weeks. What's happening?
If your state's typical processing time hasn't elapsed, you're likely still in normal queue. If you're past the typical timeframe for your state, contact support — there may be a question from the state about your filing that needs attention.
