Overview
A business amendment is an official state filing that updates your formation documents when something material changes in your business. Not every change requires a state filing — but changes to your business name, registered agent, principal address, ownership structure, or other formation details typically do.
Amendments go through the state's Secretary of State office and update the public record for your business. Like formation filings, they carry a state fee and take time to process.

How to File an Amendment With ZenBusiness

- Click Compliance in the left-hand menu
- Select Amendments
- Click Get an Amendment and follow the prompts
- Provide the details of what's changing
- ZenBusiness prepares and submits the amendment to the state on your behalf
You'll be notified when the state processes the filing. Processing time varies by state — typically 1–4 weeks.

I changed my business address. Do I need to file an amendment?
It depends on whether the address you're changing is the registered agent address or your principal business address. Registered agent address changes are filed separately through the registered agent change process. Principal business address changes typically require a state amendment. I added a new business partner. What do I need to do?
Adding a new member to an LLC typically requires updating your operating agreement (an internal document) and may require a state amendment, depending on your state. Some states require a formal amendment when membership changes; others don't. ZenBusiness can help you determine what your state requires and file the appropriate documents.
How long does an amendment take to process?
State processing times vary — typically 1–4 weeks for standard processing, faster if rush processing is available in your state. ZenBusiness will notify you when the amendment is confirmed.
Do I need to update my EIN after an amendment?
For name changes, the IRS recommends notifying them by filing Form 8822-B (Change of Address or Responsible Party — Business). For other changes, it depends on the nature of the change. Your EIN typically stays the same unless the business entity type changes fundamentally. Consult your accountant for entity type changes.
Can I file an amendment myself?
Yes — every state's Secretary of State website accepts amendment filings directly. If you prefer to do it yourself, you'll need to find the correct form for your state and entity type, complete it accurately, and pay the state fee.
