Overview

An annual report is a routine state filing that confirms your business information is current and your LLC or corporation is still active. Most states require it every year; some require it every two years (biennial). The report itself is typically brief — it confirms your business name, address, registered agent, and owners/managers — but filing it on time is mandatory for staying in good standing.

Think of an annual report as paying your "stay open" fee to the state. Even if your business hasn't changed in any way, you still have to file. Fail to file and the state may impose late fees, mark your business as not in good standing, or ultimately dissolve it.

Do I have to file an annual report even if nothing has changed?

Yes. Annual reports are required regardless of whether your business information has changed. The state uses them to confirm your business is still active. Missing the deadline because nothing changed is still a missed filing.

What happens if I miss my annual report deadline?

Late fees are the immediate consequence — most states add $25–$200 (or more) in penalties for late filings. If you miss filings for multiple years, your business may lose its good standing status or be administratively dissolved by the state. If you've already missed a deadline, contact ZenBusiness support immediately — we can help assess the situation and file to restore your standing.

My state says my annual report is due every two years. Is that normal?

Can I file my annual report myself?

My annual report is due but I'm not sure what my current registered agent address is. What do I do?
